1. About these terms
This website is operated by Zodiactech Software & IT Services Pvt. Ltd. (“Zodiac Tech Soft”, “we”, “us” or “our”), with its headquarters at Samadhi Ward, Near Govind Swami Temple, Chandrapur, Maharashtra. You can contact us at sam.andnkar1990@gmail.com or on +91 93256 95631.
By accessing this website, sending an enquiry or engaging us for services, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the website or our services.
If a signed proposal, statement of work, purchase order or service agreement contains different terms, that signed document takes precedence over these website terms for the work it covers. Nothing in these terms limits any right that cannot lawfully be limited.
2. Services and proposals
We provide software development, AI and automation, digital growth, creative and film production, 3D and immersive work, event technology, and maintenance and support. The exact services, deliverables, assumptions, timeline and commercial terms for an engagement are set out in a written proposal or statement of work.
Information on this website is general. It is not a binding offer, a guarantee of availability or a complete description of any engagement. A proposal remains open for the period stated in it, and is subject to our acceptance of the engagement.
3. Quotes, fees and payment
- Quotes are based on the scope, information and assumptions available at the time. Changes to scope, requirements, platforms or third-party costs may require a revised quote.
- Unless a proposal says otherwise, work begins after written acceptance and receipt of any advance payment requested.
- Invoices are payable within the period stated on the invoice. We may suspend work, delivery or support while an invoice is overdue.
- Applicable taxes, third-party subscription fees, domain and hosting charges, stock licences and travel may be charged separately where the proposal says so.
- Advance payments are used to reserve team capacity and may be applied against work as it is performed.
4. Refunds and cancellation
Fees are generally non-refundable. Our work is professional, made-to-order and begins with reserved time, planning and production. We will still act reasonably and in good faith when a project changes or stops.
- Before work begins. If you cancel after paying an advance but before work has begun, we will reconcile the amount against any setup, third-party commitments or other costs already incurred and refund any unused balance at our discretion, unless the proposal says otherwise.
- After work begins. If you cancel after work has begun, amounts paid for completed work, approved milestones and non-cancellable third-party commitments are not refundable. Any remaining unused advance will be reconciled against work performed and may be refunded at our discretion.
- Delivered or approved work. Fees for completed, delivered, approved or licensed work — including films, designs, campaigns, code, content and event delivery — are not refundable.
- Retainers and AMC. Monthly retainers and annual maintenance contracts are not refundable for periods already used or resources already committed. Cancellation or non-renewal follows the notice period in the applicable agreement.
- If we cannot deliver. If we are unable to deliver a service for reasons within our control, we will offer to complete the work, provide a suitable alternative, or refund the amount paid for the undelivered part after deducting work already performed and third-party costs.
Nothing in this section excludes or limits any refund or remedy you may have under mandatory applicable law. Refund requests should be made in writing to sam.andnkar1990@gmail.com with the project details and reason. Our Refund & Cancellation Policy sets out the process in more detail.
5. Delivery and client responsibilities
We will deliver with reasonable skill and care and keep you informed of progress. Timelines are estimates based on the agreed scope and depend on your cooperation and third-party platforms.
- You are responsible for providing accurate information, content, images, access, approvals and feedback within agreed or reasonable timeframes.
- You confirm that content and materials you supply are lawful, do not infringe third-party rights and may be used for the project.
- Delays caused by missing content, approvals, access, decisions or third-party services may move delivery dates; we will tell you when that happens.
- Unless the proposal says otherwise, you will review each deliverable within seven days. Work not rejected in writing with specific defects within that period is treated as accepted for milestone and payment purposes, without affecting any warranty rights you have.
- You are responsible for keeping independent backups of content and data you provide, unless a signed support agreement says we hold them for you.
6. No guarantee of commercial results
Digital marketing, search, advertising, social media, lead generation, creative and immersive work depend on many factors outside our control, including market conditions, competition, platform algorithms, budgets, your offer, pricing, sales follow-up and third-party policies.
We do not guarantee any specific number of sales, leads, enquiries, revenue, return on investment, search ranking, traffic, conversion rate or audience response. Any figures, projections or examples shown on this website or in a proposal are illustrative unless expressly identified as a written commitment in a signed agreement. Where agreed, we will define the metrics we will report and how they are measured.
7. Non-transferability
Proposals, services, deliverables, access credentials, licences and support arrangements are provided to the named client and for the purpose described in the applicable agreement. They may not be resold, sublicensed, assigned or transferred to another organisation or used to provide a competing service without our prior written consent.
You may use final deliverables within your own organisation for the purpose for which they were commissioned. Third-party accounts, domains and hosting may be transferred only with our written agreement and after all outstanding amounts are settled, and remain subject to the third party’s own rules. This section does not restrict your rights in your own content or data or any right you have under applicable law.
8. Third-party services
Our work may rely on third-party services such as hosting providers, domain registrars, Google, Meta, payment providers, messaging platforms, software libraries, plugins and APIs. Those services are governed by their own terms, privacy policies and pricing.
We are not responsible for third-party outages, policy changes, price changes, API changes, account restrictions or discontinuation of a service. Unless the proposal says otherwise, third-party subscription and usage fees are your responsibility, and we may need you to maintain accounts or provide access for the work to continue.
9. Intellectual property
You retain ownership of content, data and materials you provide. You grant us the rights needed to use them for the engagement.
Subject to full payment of the fees for the relevant engagement, we assign to you the rights in final deliverables created specifically for you, to the extent those rights can be assigned. This excludes:
- our pre-existing tools, templates, frameworks, code libraries, design systems, methods and know-how;
- third-party software, fonts, footage, music, stock assets and licences, which remain governed by their own terms; and
- internal working files, drafts, rejected concepts and component parts that are not part of the agreed final deliverable.
Where our pre-existing or third-party materials are embedded in a deliverable, we grant you a non-exclusive, non-transferable licence to use them as part of that deliverable. Additional rights, source-file releases or commercial licences must be agreed in writing.
Unless confidentiality is agreed in writing, we may show the work in our portfolio and describe our involvement. You may ask us in writing to exclude confidential or sensitive work, and we will respect that request.
10. Confidentiality and data
Each party will take reasonable care to protect non-public information received from the other in connection with an engagement, and will use it only for that engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law.
We handle personal information as described in our Privacy Policy. Where we process personal data on your behalf, the applicable agreement may include additional data-processing terms.
11. Maintenance and AMC
Maintenance, support and annual maintenance contracts cover only the systems, services, response terms and scope set out in the applicable agreement. Unless expressly included, they do not cover new features, third-party fee increases, content changes, hardware replacement, major platform migrations or work caused by unauthorised changes.
Support windows and response targets are as agreed in writing. Details of what is covered, excluded, and how changes are quoted will be confirmed before an AMC begins.
12. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to an engagement is limited to the total fees paid by you to us for that engagement in the twelve months before the event giving rise to the claim, or the total fees paid for that engagement if less.
To the same extent, we are not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill, opportunity, anticipated savings or data, even if we were told such loss was possible.
Nothing in these terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.
You are responsible for maintaining independent backups and for the lawful use of the deliverables and third-party services after handover.
13. Termination
Either party may terminate an engagement for a material breach that is not remedied within fourteen days after written notice, or immediately if the other party becomes insolvent or unable to pay its debts. We may suspend or terminate work if invoices remain unpaid after the due date and a reasonable reminder.
On termination, you remain responsible for fees for work performed and third-party commitments up to the termination date. We will hand over completed work and your materials, subject to payment of outstanding amounts and any third-party restrictions. Obligations relating to payment, confidentiality, intellectual property, liability and governing law survive termination.
14. Governing law and jurisdiction
These terms and any dispute or claim arising from them or from our services are governed by the laws of India. Subject to applicable law, the courts at Chandrapur, Maharashtra have exclusive jurisdiction over any dispute.
Nothing in this section restricts any mandatory consumer protection, data protection or other right that applies to you and cannot be waived by agreement.
15. Changes to these terms
We may update these terms to reflect changes in our services, legal requirements or operations. The updated version will be published on this page with a new “last updated” date. Changes apply to use of the website and to new engagements from that date; a signed agreement is governed by the terms in that agreement.
